Its operations are primarily channeled through KBS Limited Partnership II, a Delaware limited partnership formed on August 23, 2007, and its various subsidiaries. The company serves as the sole general partner of this Operating Partnership, holding a 0.1% interest. The remaining 99.9% ownership and sole limited partner status belong to KBS REIT Holdings II LLC, a wholly-owned Delaware limited liability company also formed on August 23, 2007. By September 30, 2020, the company's portfolio included four individual office properties alongside an office campus comprising two buildings. Oversight of the company's business activities is provided by KBS Capital Advisors LLC, subject to specific constraints. Critically, on November 13, 2019, following a review of strategic options, the company's independent directors and entire board unanimously endorsed a plan to sell all corporate assets and dissolve the entity. This comprehensive liquidation and dissolution plan, which stockholders approved on March 5, 2020, aims to return capital to investors by divesting assets, settling liabilities, and distributing the net proceeds.
